1. General provisions
This document is a public proposal by SITER (the “Contractor”) to provide digital services to individuals, entrepreneurs and legal entities (the “Client”). Acceptance occurs through payment of an invoice or another action explicitly agreed by the parties.
2. Scope of services
Services may include website and e-commerce development, redesign, Google Ads, social media marketing, SEO, content, consulting, technical support, hosting, VPS/VDS, domains and related configuration. The exact deliverables, timeline and price are agreed separately for each order.
3. Ordering and payment
The Client contacts SITER through the website, phone, email or messenger. Work may be paid in full, in advance or by milestones. Advertising budgets, third-party services, licences, domains and hosting are paid separately unless explicitly included.
4. Delivery and acceptance
Timelines begin after the required payment, materials and access have been received. The Client reviews delivered work and provides one consolidated list of reasonable comments within the agreed review period. Requests outside the agreed scope are estimated separately.
5. Responsibilities
SITER provides services professionally and informs the Client about material circumstances affecting delivery. The Client provides accurate materials, confirms the right to use them, supplies access and feedback on time, and complies with applicable law and platform policies.
6. Intellectual property
Rights to custom materials transfer after full payment of the corresponding work unless agreed otherwise. Third-party software, templates, fonts, images and services remain subject to their respective licences. SITER retains rights to pre-existing methods, libraries and general-purpose components.
7. Performance and liability
SITER does not guarantee specific search positions, lead volumes, sales, profit or uninterrupted third-party services. Results also depend on the market, budget, offer, competition and platform algorithms. Liability is governed by the Ukrainian agreement and applicable Ukrainian law.
8. Personal data and confidentiality
Contact and project data may be processed as required for communication, proposals, contracting, delivery, accounting and protection of legitimate interests. Confidential information is not shared except where required to deliver the order or by law.
9. Termination and force majeure
The Client may stop future work after paying for completed work, ordered third-party services and agreed costs. Neither party is liable for extraordinary and unavoidable circumstances, including infrastructure attacks, war-related events, extended outages or major platform failures.
10. Governing law and disputes
The agreement is governed by the law of Ukraine. Parties first seek to resolve disputes through negotiation and written communication; unresolved disputes are handled by a competent court under Ukrainian law.
